WhatsApp Business API Software as a Service (SaaS)

1. Definitions

  • Provider refers to the company or entity providing the WhatsApp Business API Software as a Service.
  • User refers to any individual or legal entity that registers for and uses the Service.
  • Service refers to the SaaS platform that enables access to WhatsApp Business API, including dashboards, integrations, documentation, and related features.
  • WhatsApp refers to the messaging platform owned and operated by Meta Platforms, Inc.
  • Content refers to all data, messages, text, media, and information transmitted or processed by the User through the Service.

2. Scope of Service

  1. The Provider grants the User access to the Service in accordance with the selected subscription plan.
  2. The Service may only be used for lawful business communications, including notifications, customer support, and transactional messages.
  3. The Provider is not affiliated with, endorsed by, or part of WhatsApp or Meta Platforms, Inc.

3. Registration and Account

  1. The User must provide accurate, complete, and up-to-date information during registration.
  2. The User is solely responsible for maintaining the confidentiality of account credentials and all activities under the account.
  3. The Provider reserves the right to suspend or terminate accounts that violate these Terms.

4. User Obligations

The User agrees to:

  • Comply with all applicable WhatsApp Business policies, including the WhatsApp Business Messaging Policy.
  • Ensure that all message recipients have provided valid and lawful opt-in consent.
  • Not use the Service for spam, fraud, or any unlawful activities.
  • Not transmit content that is illegal, offensive, defamatory, or infringes the rights of any third party.
  • Be fully responsible for all Content sent through the Service.

5. Fees and Payment

  1. The User agrees to pay all subscription fees in accordance with the selected plan.
  2. All payments made are non-refundable unless otherwise stated in writing.
  3. The Provider reserves the right to modify pricing with prior notice to the User.

6. Intellectual Property Rights

  1. All intellectual property rights related to the Service, platform, and documentation remain the exclusive property of the Provider.
  2. The User may not copy, modify, distribute, or reverse-engineer any part of the Service without prior written consent.

7. Data Protection and Confidentiality

  1. The Provider will process User data in accordance with its applicable Privacy Policy.
  2. The User acknowledges that data transmission over the internet carries inherent security risks.
  3. The User is responsible for ensuring compliance with all applicable data protection laws.

8. Limitation of Liability

  1. The Service is provided on an "as is" and "as available" basis.
  2. The Provider shall not be liable for service disruptions caused by WhatsApp, Meta, or third-party providers.
  3. The Provider shall not be liable for indirect, incidental, or consequential damages, including loss of data or profits.
  4. The Provider is not responsible for any suspension, restriction, or termination of the User's WhatsApp account by WhatsApp.

9. Termination

  1. The User may terminate the use of the Service at any time in accordance with applicable procedures.
  2. The Provider may terminate or suspend the Service immediately if the User breaches these Terms.
  3. Termination does not relieve the User of any payment obligations incurred prior to termination.

10. Amendments

  1. The Provider reserves the right to amend these Terms of Service at any time.
  2. Any changes will be communicated via email or through the Service platform.
  3. Continued use of the Service constitutes acceptance of the revised Terms.

11. Governing Law and Dispute Resolution

  1. These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia.
  2. Any disputes shall first be resolved amicably through mutual discussion.
  3. If no resolution is reached, disputes shall be settled through the competent courts.
